These Terms of Service (the "Terms") are a binding agreement between you and Cui Labs Ltd. ("Vault," "we," "us") governing your access to and use of the Vault iOS application (the "App"). By creating an account or using the App, you agree to these Terms. If you do not agree, do not use the App.
1. Eligibility
You must be 17 years of age or older to use Vault. By using the App you represent that (a) you are at least 17, (b) you have the legal capacity to enter into a binding contract, and (c) you are not barred from using the App under applicable law.
2. Your account
You are responsible for:
- Maintaining the security of the phone number used to sign in. Anyone with access to your phone can receive your one-time login code.
- All activity that occurs under your account.
- Notifying us promptly at [email protected] if you suspect unauthorized use.
You may not create multiple accounts to evade restrictions, manipulate leaderboards, or claim duplicate winnings. We may suspend or terminate any account we believe is being operated in violation of these Terms.
3. What Vault is, and what it isn't
Vault is a discipline tool. You select apps to block on your iOS device for a fixed duration. You may also join shared "lobbies" (challenges) with other users for accountability. The App uses Apple's Family Controls and Managed Settings to enforce blocks at the operating-system level on your device.
Vault is not a substitute for medical or therapeutic care. If you are experiencing a behavioral health condition (including phone or internet addiction), please consult a qualified professional. We make no representation that Vault will diagnose, treat, or cure any condition.
4. In-app purchases and subscriptions
All purchases (token packs and Vault Premium subscription) are processed by Apple through the App Store. Vault does not collect or process payment cards directly.
4.1 Token packs (one-time purchases)
You may purchase packs of in-app "tokens" through the Apple App Store. Tokens are a non-refundable digital good redeemable only inside the App. Tokens have no cash value and cannot be transferred, exchanged for currency, or sold.
4.2 Vault Premium (auto-renewing subscription)
- Length: Monthly auto-renewing subscription.
- Free trial (where offered): A free trial period (currently 3 days where eligible) may be offered to new subscribers. Cancel before the trial ends to avoid being charged.
- Auto-renewal: Your subscription will automatically renew at the end of each billing period unless you cancel at least 24 hours before the period ends. Your Apple ID will be charged the renewal price disclosed at purchase.
- Cancellation: Cancel at any time in iOS Settings → [your name] → Subscriptions. Cancelling stops future renewals; the current period will run to its end.
- Refunds: All purchases are processed by Apple. Refund requests must be made through Apple at reportaproblem.apple.com. We have no power to issue refunds for App Store purchases.
5. Lobby rules and acceptable behavior
When you create or join a lobby you agree:
- To honor the duration and rules you accept at the time of joining.
- Not to use cheating methods, third-party tools, or device modifications to evade or manipulate app blocks, scoring, or leaderboards.
- Not to harass, threaten, defame, or post sexual, violent, hateful, or illegal content in lobby chats, posts, comments, usernames, lobby names, or descriptions.
- Not to impersonate anyone or misrepresent your identity.
- Not to use the App to commit fraud, launder money, or finance illegal activity.
We may remove content, suspend lobbies, or terminate accounts that we determine, in our discretion, violate these rules.
6. User-generated content
You retain ownership of content you submit (usernames, avatars, lobby names, posts, comments). By submitting it, you grant Vault a worldwide, royalty-free, non-exclusive license to host, display, and distribute that content within the App for the purpose of operating the service.
You represent that you have the right to submit any content you upload and that it does not infringe anyone else's rights.
7. Apple-required disclosures (App Store)
- Apple is not a party to these Terms and is not responsible for the App or its content.
- These Terms are between you and Vault only, not Apple. Apple has no obligation to provide maintenance or support for the App.
- If the App fails to conform to any applicable warranty, you may notify Apple, who will refund the purchase price; to the maximum extent permitted by law, Apple has no other warranty obligation.
- Vault is responsible for any product warranty claims, product liability claims, and intellectual property infringement claims relating to the App, to the extent permitted by law.
- Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
- You represent that you are not located in a country subject to a U.S. government embargo or designated as a "terrorist supporting" country, and are not on any U.S. government list of prohibited or restricted parties.
8. Intellectual property
The App, including its software, designs, and trademarks, is owned by Cui Labs Ltd. and protected by copyright, trademark, and other laws. You receive a limited, revocable, non-exclusive, non-transferable license to use the App for personal, non-commercial use, subject to these Terms.
You may not copy, modify, reverse-engineer, decompile, or distribute the App except as permitted by applicable law.
9. Termination
You may stop using the App and delete your account at any time (Settings → Delete Account). We may suspend or terminate your access at any time, with or without notice, for any violation of these Terms or for any conduct we determine, in our discretion, is harmful to other users, to us, or to third parties. Upon termination, your right to use the App ends immediately. Provisions that by their nature should survive termination (Sections 6, 8, 10, 11, 12) will survive.
10. Disclaimers
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF SECURITY VULNERABILITIES.
We do not guarantee that app blocks will be effective in all circumstances. iOS, third-party apps, and operating-system updates may affect the behavior of Family Controls and Managed Settings in ways outside our control.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VAULT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF (OR INABILITY TO USE) THE APP. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.
Some jurisdictions do not allow these limitations; in those jurisdictions our liability is limited to the smallest amount permitted by law.
12. Governing law and disputes
These Terms are governed by the laws of the Province of British Columbia, Canada, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the App must be brought exclusively in the state or federal courts located in the Province of British Columbia, Canada, and you consent to the personal jurisdiction of those courts.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated in-app or by push notification. Your continued use of the App after the changes take effect constitutes acceptance of the revised Terms.
